Terms & Conditions
Scope and Application
These General Terms and Conditions of Sale (« Terms ») apply to all consulting services provided by La Boucle (« Consultant ») to any client (« Client »). By engaging the Consultant’s services, the Client agrees to be bound by these Terms.
Services Provided
The Consultant offers business and process automation, business plan reviews, and treasury strategy development. The scope of services shall be defined in a separate agreement, proposal, or invoice.
Fees and Payment
3.1. Fees are specified in the proposal or invoice issued to the Client.
3.2. Payment is due within 30 days from the invoice date unless otherwise agreed in writing. 3.3. Late payments may incur interest at a rate of 5% per month.
3.4. Any additional expenses incurred for the execution of the services (e.g., travel, software, third-party fees) will be charged separately, subject to prior approval by the Client.
Obligations of the Parties
4.1. The Consultant shall provide the agreed services with reasonable skill and care.
4.2. The Client shall provide all necessary information and cooperation required for the execution of the services.
Both parties agree to keep confidential all non-public information exchanged during the provision of services unless required by law or with prior written consent.
Intellectual Property
6.1. Any intellectual property created by the Consultant during the service engagement shall remain the property of the Consultant unless otherwise agreed.
6.2. The Client receives a non-exclusive, non-transferable right to use deliverables strictly for internal purposes.
Liability and warranties
7.1. The Consultant provides services on a best-efforts basis and does not guarantee specific results. 7.2. The Consultant shall not be liable for indirect, consequential, or incidental damages arising from the services provided.
7.3. The total liability of the Consultant shall not exceed the amount paid by the Client for the services in question.
Termination
8.1. Either party may terminate the agreement with 15 days’ written notice.
8.2. In case of termination, the Client shall compensate the Consultant for the services provided up to the termination date.
Governing Law and Jurisdiction
These Terms shall be governed by the laws of [Jurisdiction]. Any disputes shall be resolved in the competent courts of [Jurisdiction].
Miscellaneous
10.1. If any provision of these Terms is found to be invalid, the remaining provisions shall remain in full force. 10.2. No waiver of any provision shall be deemed a waiver of any other provision or right.
